3. Service Agreement and Fees

Our services are provided under separate service agreements that detail specific terms, deliverables, and fees. Payment terms are typically net 30 days unless otherwise specified. Late payments may incur interest charges of 1.5% per month.

4. Client Responsibilities

As our client, you agree to:

• Communicate travel requirements and changes in a timely manner
• Comply with all travel policies and procedures we establish
• Pay all fees and charges according to agreed terms
• Maintain confidentiality of any proprietary methodologies we share

5. Booking and Reservations

When we assist with travel bookings:

• All bookings are subject to availability and supplier terms and conditions
• Changes and cancellations may incur fees imposed by suppliers
• We are not responsible for supplier failures, schedule changes, or service interruptions
• Travel insurance is recommended and may be required for certain bookings

6. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for acts of travel suppliers, weather delays, or force majeure events
• Our recommendations are based on available information and professional judgment

7. Intellectual Property

All content, methodologies, reports, and materials provided by Focused Travel Solutions remain our intellectual property. Clients may use these materials solely for their internal business purposes and may not redistribute or commercialize them without written consent.

8. Confidentiality

We maintain strict confidentiality regarding client information and business details. Similarly, clients agree to maintain confidentiality regarding our proprietary methods, pricing strategies, and business practices.

9. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR. By using our services, you consent to our data processing practices as outlined in our Privacy Policy.

10. Termination

Either party may terminate the service relationship with 30 days written notice. Immediate termination may occur in cases of:

• Material breach of these Terms
• Non-payment of fees after 30 days written notice
• Illegal or unethical conduct

Upon termination, all outstanding fees become immediately due.

11. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, terrorism, or supplier failures.

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration will be conducted in English and governed by the laws of the jurisdiction where our company is registered.

13. Indemnification

Client agrees to indemnify and hold harmless Focused Travel Solutions from any claims, damages, or expenses arising from:

• Client's breach of these Terms
• Misuse of our services or recommendations
• Third-party claims related to client's travel or business activities

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between the parties and supersede all prior understandings and agreements.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
